Terms of Service

These Terms govern your use of the DropKit Studio application and website (the "Service"), operated by DropKit Studio LLC, a limited liability company ("DropKit Studio", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. Who can use the Service

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Your account

You are responsible for keeping your credentials confidential and for all activity under your account. Provide accurate information and keep it up to date.

3. Acceptable use

You agree not to misuse the Service. In particular, you will not:

Use the Service for any unlawful, fraudulent, or deceptive purpose;
Upload malware, spam, or content that infringes intellectual-property or publicity rights;
Attempt to probe, scan, reverse-engineer, or circumvent security or rate limits;
Scrape, resell, or redistribute the Service or its outputs beyond your licensed use;
Use the Service to impersonate any person or to post content you do not have the rights to.

4. AI-generated content

The Service uses generative AI to produce images, video, audio, promotional copy, and related outputs. You are responsible for the prompts you submit, for verifying the accuracy and suitability of any output, and for ensuring you hold the rights to any input you upload (including music, artwork, likeness, and third-party samples).

You may not use the Service to generate content that is unlawful, infringing, sexually explicit involving minors, deceptive deepfakes, hateful, harassing, or intended to jailbreak or defeat safety systems. We may filter, refuse, restrict, or remove outputs and suspend accounts that repeatedly violate this section. Outputs may contain inaccuracies and are not a substitute for professional advice.

5. Your content and licences

You retain ownership of the content you upload and of the outputs generated for your projects, subject to third-party rights. You grant DropKit Studio a limited, worldwide, royalty-free licence to host, process, transmit, and display your content solely to operate and improve the Service (for example, to render videos, schedule posts, and deliver analytics).

6. Intellectual property

DropKit Studio and its licensors retain all rights in the Service software, documentation, branding, and underlying technology. We grant you a limited, non-exclusive, non-transferable right to use the Service within your active plan.

7. Payments, subscriptions, and taxes

Purchases are sold by DropKit Studio LLC and processed securely by Stripe, Inc., our payment processor. Card details are handled by Stripe and never stored on our servers. Payment, billing, tax, cancellation, and refund mechanics are governed by these Terms together with our Billing & Cancellation Policy. All sales are final; we do not issue refunds. Subscriptions renew automatically until canceled, and cancellation takes effect at the end of the billing period you have already paid for.

8. Third-party platform connections

When you connect third-party accounts (for example TikTok, YouTube, Instagram, X, or Facebook/Threads), your use of those platforms is subject to their own terms. You authorize DropKit Studio to act on your behalf within the scope you grant, and you may revoke access at any time from the Accounts page.

9. Service availability

We work to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free, or that any specific feature will remain available.

10. Suspension and termination

We may suspend or terminate access for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated policy violations. You may stop using the Service and cancel your subscription at any time.

11. Disclaimer of warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, DropKit Studio's aggregate liability arising out of or related to the Service will not exceed the fees you paid to us (via Stripe) in the twelve months preceding the event giving rise to the claim. We will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

13. Indemnity

You agree to indemnify and hold DropKit Studio harmless from claims arising out of your content, your violation of these Terms, or your unlawful use of the Service.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Santa Clara County, California, and you consent to their jurisdiction.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated in the app or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
